Casual dining chain California Pizza Kitchen (CPK) has entered into a definitive agreement to be acquired by Consortium Brand Partners (CBP), in partnership with Eldridge Industries, Aurify Brands and Convive Brands.
The transaction aims to support CPK’s next phase of growth, including domestic and international franchise expansion and the development of branded food products.
The partnership will build on CPK’s recent performance, including same-store sales growth in 2025 that outpaced the broader industry, supported by network expansion and a broader presence across restaurant and retail channels.
Under the agreement, Convive Brands will direct global operations and serve as master franchisor for all California Pizza Kitchen restaurants worldwide. Jon Weber, CEO of Convive Brands, will also serve as CEO of California Pizza Kitchen, overseeing global operations.

Bain Capital Credit is supporting the acquisition through a combination of debt and equity financing. Aurify Brands acted as adviser on the transaction, with Winston & Strawn LLP advising CBP, and Reed Smith LLP advising Eldridge Industries and Convive Brands.
The transaction is expected to close in December 2025. The acquisition marks CBP’s fourth transaction, following investments in Jonathan Adler, Draper James and Outdoor Voices, and expands its portfolio into the food, beverage and hospitality sectors.
