Celsius has agreed to buy Alani Nutrition for $1.8 billion, including $150 million in tax assets, for a net purchase price of $1.65 billion.
The deal is subject to standard closing conditions, including regulatory clearances, and is scheduled to close in the second quarter of this year.
According to Celsius, the purchase would establish a “leading better-for-you, functional lifestyle platform” at the crossroads of consumer megatrends and strengthen its position as an innovative leader in the big, developing global energy sector.
“Celsius is at a defining moment in the better-for-you, functional lifestyle products movement, and we are thrilled to welcome Alani Nu to the Celsius family,” said John Fieldly, chairman and CEO of Celsius.
“We have deep respect for the strong community of supporters and fans Alani Nu has developed and the authentic brand and partnerships they have formed. Together, we expect to broaden the availability of Alani Nu’s functional products to help more people achieve their wellness goals with great-tasting, functional product options at more moments throughout their lives.”
Alani Nu, founded in 2018, is a female-focused business offering functional beverages and wellness items that are aspirational and accessible to a growing group of Gen Z and millennial consumers.
